Yes, and that's the honest reason to think carefully.
A theme replaces the front end. Your posts, pages, products and media all stay, they're WordPress. However the layouts have to be rebuilt, because the old theme's designs don't transfer. If your current site is fine and you only want the SEO side, the plugin is the better answer. It goes on the site as it stands and has all of Cleo, without changing how it looks.

Cleo builds and rewrites pages inside it directly, using Presstack's blocks. If you'd rather keep Gutenberg, Divi, Avada or WPBakery, the plugin works with all of them, and builds new pages with their own elements where it can. That's what it's for.

Yes, always.
Anything Cleo builds is an ordinary page in the builder. Open it, move things, change the words, delete what you don't like. Nothing is locked, or dependent on her to keep working. If you turn her off entirely, the pages stay exactly as they are.

Yes, and nothing is lost.
Your articles, business details, rankings history and every fix she's made are stored in the WordPress database, not the theme. They come with you.
The reverse isn't true. Moving from the theme back to the plugin loses your page designs, because the plugin deliberately doesn't touch how a site looks, which is precisely what lets it work on anybody's theme. If it's a close call, start with the plugin. That door stays open.

Yes. Not because we expect trouble, but because you should have a backup before any theme goes on a site, and a theme change affects the front end of every page at once.
Cleo's own undo puts back changes to pages, posts, products and images for 30 days. But an undo log is not a backup, and it won't help if you decide three months later that you want the site as it was in January.
